01 Acceptance of Terms

By accessing or using JustCallRoxy (the “Service”), operated by Just Call Roxy LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a business, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

02 Description of Service

JustCallRoxy is a software-as-a-service platform that helps home service contractors — including HVAC, roofing, plumbing, electrical, general contracting, painting, landscaping, remodeling, pest control, and related trades — automate follow-up communications with prospective customers via SMS.

The Service uses artificial intelligence to generate personalized SMS messages on your behalf, sent through Twilio's messaging infrastructure. Core features include:

• Automated SMS follow-up sequences for estimates and leads
• AI-drafted message content customized to your business
• Lead tracking and response management
• Reporting and analytics on follow-up performance

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to active subscribers.

03 Eligibility & Registration

You must be at least 18 years old and operate a legally registered business to use the Service. By registering, you agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@justcallroxy.com if you suspect unauthorized access.

04 Subscription & Billing

JustCallRoxy is offered on a paid subscription basis. Billing is processed through Stripe, a third-party payment processor. By providing payment information, you authorize us to charge your payment method for applicable fees on a recurring basis.

• Billing cycle: Subscriptions renew automatically at the end of each billing period (monthly or annually, as selected).
• Price changes: We will provide at least 30 days' written notice before changing subscription pricing.
• Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation takes effect at the end of the current billing period.
• Refunds: Subscription fees are non-refundable except as required by applicable law or as expressly stated in our current refund policy. Usage-based charges (e.g., SMS overages) are non-refundable.
• Failed payments: If a payment fails, we may suspend access to your account until payment is resolved.

All fees are quoted in U.S. dollars and are exclusive of applicable taxes, which you are responsible for paying.

05 Acceptable Use

You agree to use the Service only for lawful business purposes. You may not use JustCallRoxy to:

• Send unsolicited messages to individuals who have not given prior express written consent to receive SMS marketing from your business
• Harass, threaten, or deceive message recipients
• Violate any applicable federal, state, or local law or regulation
• Misrepresent your identity, business, or the nature of your services
• Transmit spam, phishing content, or malicious links
• Interfere with or disrupt the Service or its infrastructure
• Attempt to reverse-engineer, scrape, or copy the Service
• Resell or sublicense access to the Service without written permission

We reserve the right to suspend or terminate accounts that violate this section without prior notice.

06 SMS & Messaging Compliance

You are solely responsible for ensuring that your use of the Service complies with all applicable messaging laws and regulations, including but not limited to:

• The Telephone Consumer Protection Act (TCPA)
• The CAN-SPAM Act
• CTIA Messaging Principles and Best Practices
• All applicable state telemarketing and consumer protection laws

You agree to honor all opt-out requests promptly and to maintain accurate records of consent. The Service provides opt-out mechanisms (e.g., STOP handling via Twilio), but you remain responsible for ensuring these mechanisms function correctly within your workflows.

07 AI-Generated Content

JustCallRoxy uses large language models (including the Anthropic Claude API) to draft SMS messages on your behalf. You acknowledge that:

• AI-generated messages are drafts and may require your review before sending
• We do not guarantee the accuracy, completeness, or appropriateness of any AI-generated content
• You are responsible for reviewing messages sent through your account, regardless of whether they were AI-generated
• AI outputs may occasionally contain errors, hallucinations, or unexpected content

By using the Service, you assume full responsibility for all messages sent through your account, including AI-drafted messages.

08 Your Data & Content

You retain ownership of all customer data, contact information, and other content you upload or input into the Service (“Your Content”). By using the Service, you grant Just Call Roxy LLC a limited, non-exclusive license to process Your Content solely for the purpose of providing the Service to you.

We do not sell Your Content to third parties. We may use aggregated, de-identified data derived from your use of the Service to improve our products and services. Please see our Privacy Policy for full details on how we handle your data.

You are responsible for ensuring you have the right to upload and use any contact data you provide to the Service, including appropriate consent from the individuals in your contact lists.

09 Intellectual Property

All rights, title, and interest in the Service — including its software, design, branding, and documentation — remain the exclusive property of Just Call Roxy LLC. These Terms do not grant you any ownership rights in the Service.

The JustCallRoxy name, logo, and related marks are trademarks of Just Call Roxy LLC. You may not use our trademarks without prior written consent.

10 Third-Party Services

The Service integrates with third-party platforms including Twilio (SMS delivery), Stripe (payments), Clerk (authentication), and Anthropic (AI). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

Links to external websites or services are provided for convenience only and do not constitute an endorsement.

11 Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities. We do not guarantee any specific results from use of the Service, including conversion rates, lead responses, or revenue outcomes.

12 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JUST CALL ROXY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

13 Indemnification

You agree to indemnify, defend, and hold harmless Just Call Roxy LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party right
• Any messaging you send through the Service, including TCPA or other regulatory violations
• Any data you upload to the Service

14 Termination

Either party may terminate these Terms at any time. You may cancel your account through your dashboard or by emailing us. We may suspend or terminate your account immediately if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to other users or our infrastructure.

Upon termination, your right to access the Service ceases immediately. We will retain your data for a reasonable period following termination in accordance with our Privacy Policy, after which it will be deleted.

15 Governing Law & Disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in El Paso County, Colorado, and you consent to the personal jurisdiction of such courts.

Before filing any legal claim, you agree to first contact us at legal@justcallroxy.com and give us 30 days to attempt to resolve the dispute informally.

16 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

We recommend reviewing these Terms periodically. The “Last updated” date at the top of this page reflects the most recent revision.
